By buying a paid service, you confirm that you are ordering in that capacity and have authority to bind the named business. If you want to order mainly for personal purposes, contact support before paying.
1. About these terms
Millwards Online is operated by Mackenie Millward, sole trader trading as Millwards Digital, of 698 Harvey Road, Derby, DE24 0EG, United Kingdom (“Millwards Digital”, “we”, “us”).
These terms apply whenever you use millwards.online, run an audit or order a paid Millwards Online service. Our privacy notice explains how personal information is handled, and the methodology explains what the automated checks can and cannot assess.
Using a free audit means you agree to the provisions relevant to free use. A paid contract is formed when Stripe confirms successful payment and we accept the order by providing a confirmation or starting fulfilment. If an order cannot be accepted, any amount taken will be refunded.
2. Services and prices
The current products are:

Prices are in pounds sterling. Millwards Digital is not currently VAT registered, so VAT is not added and a VAT invoice is not issued. The product, billing frequency and final amount are shown again at Stripe Checkout. If the site and Checkout conflict, contact us before paying; the Checkout summary governs that order once accepted.
Implementation work, website changes, search optimisation, hosting and consulting outside the stated review are not included. They can only be supplied under a separate quotation or agreement.
3. Orders, payment and delivery
Payment
Stripe securely processes payments and subscriptions. You must provide accurate billing information and be authorised to use the payment method. We do not receive your full card number. A failed, reversed or disputed payment may delay or suspend the relevant service while it is resolved.
Automated audits and complete reports
A free audit normally appears after the requested public page is successfully fetched and checked. A complete report is normally unlocked automatically after confirmed payment and its private access link is sent to the email entered at Checkout. Delivery depends on the submitted website being publicly reachable and on the availability of internet and third-party systems.
Human review
The automated complete report is unlocked first. We aim to email the added human review within five working days after payment and after receiving any business context reasonably requested from you. If that target cannot be met, we will explain the delay and agree a revised date; you may cancel any unperformed human-review work instead.
Monitoring
Monitoring is a scheduled monthly diagnostic rescan, not continuous uptime, security or ranking surveillance. The first monitoring setup and future report access are sent to the Checkout email. Scan dates may vary slightly because of website or infrastructure availability. If a site cannot be reached, we may retry or record an unavailable scan rather than producing a full result.
Private links
Report and account links can grant access without a password. You must keep them confidential, use an email account you control and tell us promptly if a link is disclosed. We may revoke and replace a link to protect you or the service.
Report availability
A free report is normally retained and available for up to 30 days. Paid report access and monitoring history may be retained for up to 12 months. These are maximum working retention periods rather than permanent storage, so keep your own record of information you need. Legal, payment or dispute records may be retained separately as explained in the privacy notice.
4. Subscriptions and renewal
Monitoring and Agency are monthly subscriptions. Stripe charges the subscription price when it begins and automatically on each monthly renewal date until cancelled. You authorise those recurring charges when you complete Checkout.
You can request cancellation through the available Stripe billing link or by emailing support@millwards.shop from the Checkout email. Cancellation takes effect at the end of the paid billing period, so service continues until then. There is no cancellation fee and no charge for the next period once cancellation has been completed in time.
Monitoring covers one domain at a time. Agency covers no more than 10 active client domains. Changing a domain, adding an agency name or removing a client must follow the account controls or a reasonable support process. Unused domain capacity does not roll over or create a credit.
If a recurring price changes, active subscribers will receive reasonable advance notice and can cancel before the change takes effect. Taxes may be added if registration or law later requires them.
5. Cancellation, refunds and service problems
These services are sold on a business-to-business basis. Consumer cancellation rules do not normally apply to an order made wholly or mainly for business purposes. Nothing in these terms removes a legal right that cannot lawfully be excluded.
- Complete report: because private access is normally supplied immediately, the £29 fee is not generally refundable once the report has been unlocked. We will, however, correct the issue or provide an appropriate refund for a duplicate charge, failure to supply access or material service fault.
- Human review: you may cancel before human work starts for a refund of that service. If work has started, we may deduct a reasonable amount for work already completed and refund the balance. The included automated report may be charged at its then-current price if it has already been supplied.
- Subscriptions: cancellation stops renewal at the end of the paid period. We do not normally provide a pro-rata refund for an unused part of that period, but will offer an appropriate remedy if the contracted monitoring is materially not supplied.
Contact support@millwards.shop promptly with the report or order reference, domain and Checkout email. We may first retry a scan, restore access or correct an error where that reasonably resolves the problem.
6. Your responsibilities and acceptable use
You must:
- submit only public domains that you own, manage, represent or are otherwise authorised to assess for a legitimate business purpose;
- provide accurate information and keep subscription contact details current;
- ensure that client domains and any client information are used with appropriate authority;
- respect technical limits and not try to bypass rate limits, access controls or private report protections; and
- review recommendations before acting and make your own business decisions.
You must not use the service to conduct vulnerability scanning, penetration testing, denial-of-service activity, bulk crawling, unlawful surveillance or harassment; access private systems or data; introduce malicious code; scrape or resell the service or its datasets at scale; reverse engineer the application except where law expressly permits it; or infringe another person’s rights.
We may refuse a domain, limit traffic, suspend access or end a service where reasonably necessary to prevent abuse, protect another system, comply with law, address non-payment or investigate a material breach. Where practical, we will explain the reason and provide an opportunity to remedy it.
7. Ownership and permitted use
Millwards Digital and its licensors retain ownership of the service, software, visual design, scoring method, report format and general guidance. You retain rights in information you submit and are responsible for having permission to provide it.
Once the applicable fee has been paid, you receive a non-exclusive, non-transferable licence to use the report for your own business and share it with employees and professional advisers. Agency subscribers may share reports with the relevant named client and add their agency name. This does not permit unrelated resale, publication as a competing audit product, removal of ownership notices, or extraction of the underlying methodology or dataset.
Feedback may be used to improve the service, but we will not identify you publicly as a customer without permission.
8. Important diagnostic limitations
An audit is a directional snapshot, not a certification. It does not guarantee a search position, legal compliance, accessibility conformance, security, revenue or customer enquiries.
The automated audit evaluates the single public page supplied and limited discovery files using deterministic checks at a particular time. Among other limits, it does not:
- crawl every page or test authenticated, private or transactional areas;
- render the site as a full browser or reproduce every device, assistive technology, location or visitor;
- perform penetration testing, a vulnerability scan, a full accessibility audit or a legal-compliance review;
- measure Google field data, rankings, index status, Business Profile quality, reviews, directory listings or competitors; or
- guarantee that dynamic, blocked, personalised or geographically varied content is detected.
Third-party websites can change, block requests or return incomplete information. A human review adds judgement but remains based on available information and is not legal, financial or regulated professional advice. Read the full audit methodology and limitations before relying on a result.
9. Service standard and third parties
We will provide paid services with reasonable care and skill and substantially as described at the time of order. We do not promise uninterrupted or error-free availability, or that every issue will be identified. Free audits are provided without a commitment that they will always be available or retained.
The service depends on the submitted website, hosting, internet connectivity, email delivery and Stripe. We are not responsible for a third party’s content, acts or outage, but will take reasonable steps within our control to fulfil a paid service or provide an appropriate remedy where we cannot.
10. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Subject to that sentence and to the extent permitted by law, Millwards Digital is not liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill, business opportunity or data arising from your use of or reliance on the service. You remain responsible for backing up your website, testing changes and obtaining specialist advice where appropriate.
Millwards Digital’s total aggregate liability arising from a service or related series of events will not exceed the greater of £100 and the fees you paid for the affected service in the 12 months before the event giving rise to the claim. This cap does not reduce a refund due for a service that was not supplied and does not apply where liability cannot be limited by law.
Each party must take reasonable steps to reduce avoidable loss. Nothing in these terms makes either party the employee, agent, partner or joint venturer of the other.
11. General terms
Events outside reasonable control
Neither party is responsible for delay caused by an event outside its reasonable control, provided the affected party takes reasonable steps to limit the effect and resumes performance when possible. This does not excuse payment already due.
Changes to these terms
We may update these terms for new features, supplier changes, security or legal reasons. The version in force when a one-off order is accepted applies to that order. Material changes to an active subscription will be notified in advance where reasonably possible; if you do not accept them, you can cancel before they take effect.
Transfer, waiver and severability
You may not transfer the contract without written consent. We may transfer it as part of a business transfer or restructuring if this does not materially reduce your rights. A delay in enforcing a right is not a waiver. If a provision is unenforceable, it will be adjusted or removed only to the minimum extent necessary and the remaining terms continue.
Entire agreement and third-party rights
These terms, the Checkout summary and any written product-specific terms form the agreement for the service and replace earlier discussions about it. Neither party relies on a statement not included in that agreement, without limiting liability for fraud. A person who is not a party has no right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
Law and disputes
Contact us first so we can try to resolve a concern. These terms and any non-contractual dispute are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
